OFFICIAL RULES

NO PURCHASE OR OBLIGATION IS NECESSARY TO ENTER OR TO WIN. NON-PURCHASE ENTRIES AND PURCHASE ENTRIES HAVE AN EQUAL CHANCE OF WINNING.

1. ELIGIBILITY: The M&T Check Card Fantastic Plastic Summer Sweepstakes ("Sweepstakes") is open to all legal residents of the fifty (50) United States and the District of Columbia, except residents of Florida and Rhode Island, eighteen (18) years of age and older as of June 1, 2009. Employees of M&T Bank ("Sponsor"), Visa U.S.A. Inc., Visa International Service Association, their respective Member financial institutions, and all their respective parents, subsidiaries and affiliates, prize suppliers, and advertising and promotion and advertising agencies, including Marden-Kane, Inc. ("Administrator") and its affiliates, and the immediate families (spouse, and parents, children and siblings, and their respective spouses regardless of where they live) and individuals living in the same households, whether related or not, of the above, are not eligible. Void in Florida, Rhode Island, Puerto Rico and where prohibited or restricted by law. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations.

2. HOW TO ENTER: The Sweepstakes begins on June 1, 2009 and ends on June 30, 2009 ("Promotional Period"). The Promotional Period is divided into four (4) weekly periods (each a "Weekly Period") and thirty (30) daily periods (each a "Daily Period"). An eligible M&T Bank Visa® Check Card cardholder (M&T Check Card, M&T Gold Check Card, M&T Bills Check Card, M&T Ravens Check Card, Portfolio Management Account Check Card and M&T Check Card for Business) automatically receives one (1) Sweepstakes entry into the applicable Daily Drawing and an additional entry into the applicable Weekly Drawing, for each eligible Visa purchase made with his/her M&T Bank Visa Check Card during the Promotional Period at a participating merchant location in the United States. Only eligible Visa purchases made with an M&T Bank Check Card that is not in default under the customer agreement for that account and issued by M&T Bank, and processed through Visa U.S.A. Inc.'s transaction-processing system during the Promotional Period, are eligible for automatic entry. In the event of a dispute as to who submitted a particular cardholder entry, such entry will be deemed to be submitted by the primary person in whose name the card used to enter the Sweepstakes was issued. Account adjustment transactions/returns, purchases authorized by entering a PIN (personal identification number), non-US Dollar purchases, ATM, convenience-check, Interlink®-processed transactions, late payment fees, over limit fees, cash advances, annual fees, and/or balance transfers are not considered eligible transactions for Sweepstakes entry. Entries from unauthorized Visa card or card number use or made with lost, stolen, tampered with or fraudulent Visa cards or card numbers represented as being issued by a participating financial institution are void. To enter without purchase or obligation, hand-print your name, address, city, state, zip, day and evening phone numbers and the words "M&T Check Card Fantastic Plastic Summer Sweepstakes" on a 3"x 5" card, and mail in a stamped #10 envelope, hand printed, to: "M&T Check Card Fantastic Plastic Summer Sweepstakes", P.O. Box 8035, Grand Rapids, MN 55745-8035. There are thirty [30] daily drawings and four [4] weekly drawings which you may choose to enter from 6/1/09 to 6/30/09. Enter as often as you wish; however, only one entry per stamped envelope will be accepted. To enter the daily drawings: Hand print the daily drawing for which the entry is being submitted on the lower left hand corner of the outer mailing envelope. The entry must be postmarked no later than the daily drawing date for which it is being submitted and received no later than five days thereafter. For example: To be entered in the daily drawing for 6/15/09, the words "June 15, 2009" must be hand printed and postmarked by 6/15/09 and received by 6/20/09. Entries for Sundays' daily drawings may be postmarked on Monday (i.e. entries for 6/7/09 must postmark no later than 6/8/09). No mechanical reproductions permitted. All entrants in the daily drawings are automatically entered into the Weekly Drawings for the weekly period indicated by their daily entry period. All weekly periods begin on a Monday and end on a Sunday, except for the last weekly drawing which will begin on a Sunday (6/22/09) and end on a Tuesday (6/30/09). All entries become the property of the Sponsor and will not be returned.

3. DRAWINGS: The drawing for Daily and Weekly periods from all eligible entries received (transactions and mail-ins) will take place on or about July 13, 2009. Daily Prizes: Two prizes will be awarded for each of the thirty [30] Daily Periods during the Promotional Period. Purchase transactions entries will be assigned to the Daily Drawing based on date of purchase. Mail-in entries will be assigned to a Daily Drawing based upon date indicated on the outer envelope. Non-winning entries will not be carried forward to next Daily Drawing. An entrant may win more than one daily prize but not for the same daily period and is eligible to win one (1) weekly prize. Weekly Prizes: One prize will be awarded for each Weekly Period. Non-winning entries from each weekly drawing will be carried forward to the next Weekly Drawing. Limit of one (1) weekly prize per person or household for the entire Promotional Period. All daily and weekly drawings are under the direction of Administrator, whose decisions are final and binding in all matters relating to the Sweepstakes.

4. ESTIMATED ODDS OF WINNING: The estimated odds of winning a daily prize is 1:211,444 and a weekly prize is 1:3,171,656. However, the actual odds of winning any prize are dependent upon the total number of eligible entries received for each Daily Drawing and Weekly Drawing.

5. PRIZES: Four (4) Weekly Prizes, awarded one per week: Each winner chosen in a Weekly Drawing will receive a credit to the primary cardholder's M&T Bank checking account in the amount of $1,500. If a mail-in entry is selected as a winner he/she will receive a check in the amount of $1,500 made payable to the person indicated on the 3"x5" card. Value of each weekly prize: $1,500; value of all weekly prizes: $6,000. Sixty [60] Daily Prizes, awarded two per day. Each winner chosen in a Daily Drawing will receive a credit to the primary cardholder's M&T Bank checking account in the amount of $100. In the case of a mail-in winner, a check in the amount of $100 will be made payable to and sent to the person named on the 3"x5" card. Value of each daily prize: $100; value of all daily prizes: $6,000. Total value of all prizes: $12,000. Please allow 4 weeks for your credit to appear on your account. No substitutions or transfers of prizes permitted except at the sole discretion of the Sponsor, who reserves the right to substitute a prize (or portion thereof) with one of comparable or greater value, at its sole discretion. Winner is responsible for the payment of taxes on the prize and for any other costs and expenses not specifically described above which are associated with the acceptance and use of a prize.

6. WINNERS NOTIFICATION: The potential winners will be notified by a traceable method of delivery and may be required to complete and sign an Affidavit of Eligibility and Liability Release, where legal, a Publicity Release, and IRS Form W-9, all of which must be returned within 14 days from prize notification date or the prize will be forfeited and awarded to an alternate potential winner. If the prize is won by an eligible individual who is not of the legal age of majority in the state of residence ("minor"), the required documents must be confirmed and signed by winner's parent or legal guardian. In the event of non-compliance with these rules (the "Official Rules"), or if the prize or prize notification is unclaimed or returned as undeliverable, the prize will be forfeited and, at Sponsor's discretion, awarded to an alternate potential winner. By entering the Sweepstakes, entrants, or, if minors, their parents or legal guardians, agree to the use by Sponsor and its designees of their names, cities and states of residence and photographs/likenesses for advertising and promotional purposes for this and similar promotions, worldwide, and in perpetuity, in any and all forms of media, now known or hereafter devised (including and without limitation, the Internet) without additional compensation, notification or permission, except where prohibited by law. Upon request, winners will consent to such in writing. If by reason of a printing or other error, more prizes are claimed than the number set forth in these Official Rules, all persons making purportedly valid claims will be included in a random drawing to award the advertised number of prizes available in the prize category in question. No more than the advertised number of prizes will be awarded.

7. LIMITATION OF LIABILITY: By participating in the Sweepstakes, entrants, or if minors, their parents or legal guardians, agree to release, indemnify and hold harmless M&T Bank, Visa U.S.A. Inc., Visa International Service Association, their respective member financial institutions, and each of their respective parent companies, subsidiaries, affiliates, prize suppliers, and advertising and promotion agencies of Visa U.S.A. Inc., and each of their agents, representatives, officers, directors, shareholders, and employees (collectively, "Releasees") from and against any injuries, losses, damages, claims, actions, or liability of any kind resulting from or arising from participation in the Sweepstakes or acceptance, possession, use, misuse or nonuse of any prize (including any travel related thereto) that may be awarded. This Sweepstakes and these Official Rules shall be interpreted in accordance with the laws of the State of New York without regard to its principles of conflicts of law. Jurisdiction and venue shall be solely within the State of New York relating to the administration of the Sweepstakes. Releasees are not responsible for technical, computer, mechanical, printing, typographical, human or other errors relating to or which may occur in connection with the Sweepstakes, including, without limitation errors which may occur in the administration of the Sweepstakes, the processing of entries, the announcement of the prizes or in any Sweepstakes related materials; or for transactions or entries that are lost, stolen, late, misdirected, damaged, incomplete, inaccurate, garbled, fail to enter into the processing system, or are processed, reported, or transmitted late or incorrectly or are lost for any reason including computer, telephone, paper transfer, human or other error; or for electronic, computer, or telephonic malfunction or error, including inability to access any web site associated with this Sweepstakes or process any transaction thereon. If in the Sponsor's opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Sweepstakes, or if computer viruses, bugs, unauthorized intervention, fraud, or technical difficulties or failures compromise or corrupt or affect the administration, integrity, security, fairness, or proper conduct of the Sweepstakes, the judges reserve the right at their sole discretion to disqualify any individual who tampers with the entry process, void any entries submitted fraudulently, modify or suspend the Sweepstakes, or to terminate the entire Sweepstakes or that portion of the Sweepstakes relating to the suspected or actual tampering of the Sweepstakes and conduct a random drawing to award the prizes using all non-suspect, eligible entries received as of the date of such action. If the Sweepstakes is modified, suspended or canceled, notice will be posted on www.mtb.com. As a condition of entering the Sweepstakes, entrant agrees that: a.) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; b.) all causes of action arising out of or connected with this Sweepstakes, or any prizes awarded, shall be resolved individually, without resort to any form of class action; and c.) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys fees. Sponsor reserves the right to modify prize award procedures. In no event will the Sponsors or Releasees be responsible or liable for any damages or losses of any kind, including direct, indirect, incidental, consequential, or punitive damages arising out of access to and use of the mtb.com web site or the downloading from and/or printing material downloaded from said site. Some jurisdictions may not allow the limitations or exclusions of liability for incidental or consequential damages, or exclusion of implied warranties, so some of the aforementioned limitations or exclusions may not apply. Check local laws for any restrictions or conditions regarding these limitations and/or exclusions.

8. WHO WON?: For the names of the winners available after July 31, 2009, mail a self-addressed, stamped envelope to: "M&T Check Card Fantastic Plastic Summer Sweepstakes" Winners, P.O. Box 705, Sayreville, NJ 08871-0705. Requests must be received no later than July 31, 2009. The winners' names will be sent when the drawing has been conducted and the winners have been verified and notified.
